This seminar provides an introduction to identifying and mitigating the legal risks associated with launching and growing high-technology companies. Areas covered include university technology transfer, raising venture capital and negotiating terms, preparing for investor and acquisition due diligence, intellectual property ownership, patent valuation and licensing, building management teams and preparing companies for future growth and/or acquisition. Another key theme of the seminar includes understanding these legal issues from the entrepreneur’s perspective and using this understanding to provide more effective counsel. The seminar includes guest lectures from entrepreneurs, investors and attorneys that work extensively with high-technology companies. (Prerequisite: Business Organizations I.)
